Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Hayil platform - including our mobile application, USSD service, and web dashboard (collectively, the “Platform”). Please read them carefully. By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. About Hayil
Hayil Inc. (“Hayil”, “we”, “our”) is a civic intelligence platform that connects citizens with political figures and government offices. We operate two distinct user types: Citizens (individuals engaging in civic processes, always free) and Office Accounts (political figures and government offices, subscription-based).
2. Eligibility
- You must be at least 13 years of age to use the Platform.
- You must provide a valid phone number capable of receiving OTP messages.
- Office Accounts must be registered by an authorised representative of the relevant political office or organisation.
- You must comply with all applicable laws in your jurisdiction.
- Accounts representing government offices or political figures are subject to additional verification at Hayil's discretion.
3. Citizen Accounts
Every Hayil account is a citizen account by default. When you sign up, you are registered as a citizen - free of charge, forever - with full access to submit petitions, file complaints, report issues, vote in referendums, and engage with your government.
Every citizen account also carries a dormant political office profile, created automatically at signup. This profile becomes active only when you declare an intent to run for office, are currently serving in one, or are formally affiliated with a registered government organisation. Until that declaration is made and verified, the political dashboard, constituent analytics, and office management features remain inactive.
In short: you are a citizen first, always. The political figure layer is an elevation of that same account - not a separate product - unlocked when your civic role requires it.
As a citizen, you agree to:
- Submit only truthful information in petitions and complaints
- Not use the Platform to file false, vexatious, or malicious submissions
- Not create multiple accounts to circumvent one-person-one-vote rules in referendums
- Not impersonate another person or organisation
- Not use automated tools, bots, or scripts to interact with the Platform
4. Office Accounts and Subscriptions
Office Accounts (political figures and government offices) access advanced features through a paid subscription.
4.1 Plans and Billing
Current pricing is displayed at pricing. Subscriptions are billed monthly or annually. We reserve the right to change pricing with 30 days' notice to existing subscribers.
4.2 Free Trial
Paid plans include a 14-day free trial. No credit card is required to start a trial. After 14 days, you will be charged unless you cancel. Cancellation during the trial period incurs no charge.
4.3 Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for unused time within a billing period, except where required by law.
4.4 Office Account Responsibilities
- Maintain accurate and up-to-date account information
- Respond to citizen submissions in a timely and professional manner
- Not publish false, misleading, or manipulative referendum questions
- Not use analytics data to discriminate against citizens based on protected characteristics
- Keep login credentials confidential and notify us immediately of any breach
5. Prohibited Conduct
The following is prohibited for all users:
- Using the Platform to harass, threaten, or defame any person or organisation
- Uploading or submitting content that is illegal, obscene, or incites violence
- Attempting to gain unauthorised access to any part of the Platform
- Scraping, crawling, or data-mining the Platform without written permission
- Reverse engineering or decompiling any part of the Platform
- Using the Platform to spread disinformation about civic processes or election results
- Soliciting or accepting payment in exchange for petition signatures or referendum votes
Violation of these rules may result in immediate account suspension or termination without refund.
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of content you submit (petitions, complaints, reports). By submitting content to the Platform, you grant Hayil a non-exclusive, worldwide licence to store, process, and display that content solely for the purpose of operating the Platform and providing the service to you and the relevant government office.
6.2 Hayil's Property
The Platform, its design, code, trademarks, and all analytics features are the exclusive property of Hayil Inc. Nothing in these Terms transfers any intellectual property rights to you.
7. Disclaimers
The Platform is provided “as is” without warranties of any kind, express or implied. We do not warrant that:
- The Platform will be available at all times or free from errors
- Government offices will respond to submissions within any particular timeframe
- Analytics data is complete, accurate, or suitable for any particular purpose
Hayil is a communications and analytics platform. We are not a government body and have no authority to compel any office to act on a submission.
8. Limitation of Liability
To the maximum extent permitted by law, Hayil's total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages.
9. Indemnification
You agree to indemnify and hold Hayil harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Platform, or your submission of content that infringes any third-party right.
10. Termination
We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time through the app settings. Upon termination, your right to use the Platform ceases immediately. Data deletion follows the timeline described in our Privacy Policy.
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Ghana. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
12. Changes to These Terms
We may update these Terms from time to time. We will notify active users via the Platform with at least 14 days' notice before material changes take effect. Your continued use after that notice period constitutes acceptance.
